We operate under flexible engagement models designed to match your business stage and needs:
• Project-Based: One-time setup and delivery with specific deliverables.
• Hybrid: Initial setup followed by ongoing monthly retainers for optimization and support.
• Digital & Affiliate Offers: Instant, scheduled, or automated delivery of digital assets and affiliate-linked services.
We grant you a limited, non-exclusive, non-transferable license to use materials or systems provided under our agreement for your personal or business purposes.
You may not:
• Modify, duplicate, or republish materials without consent.
• Use assets for unlawful or competing purposes.
• Reverse-engineer, extract, or decompile any proprietary automation, funnel, or AI setup.
• Remove any proprietary notices or trademarks.
• Resell, redistribute, or “mirror” content on other servers or platforms.
Violation of this license automatically terminates your access and may result in legal action.
Accepted payment methods: Stripe, PayPal, Wise, LeadConnector Payments, or Bank Transfer.
• Payment terms vary per project or retainer but typically require 100% upfront or split payments as outlined in the proposal.
• All prices are stated in USD unless otherwise specified.
• Late payments beyond 7 days may pause project work and automation access.
• Services: Eligible for refund within 14 days of payment only if no deliverables or access to assets have been provided.
• Digital Products / Completed Services: Strictly non-refundable.
• Refunds do not apply once digital assets, automations, or client accounts are deployed, transferred, or unblocked.
To ensure smooth project execution, clients agree to:
• Provide accurate and complete brand assets, content, and credentials.
• Approve drafts, prototypes, or revisions within reasonable timeframes.
• Ensure all provided content complies with copyright and data protection laws.
• Maintain clear communication channels via agreed platforms (email, chat, or CRM).
Delays caused by client inactivity, missed communication, or lack of information may extend project timelines without affecting payment terms.
We commit to meeting agreed timelines and delivering within scope.
However, we are not liable for delays due to:
• Client-side inaction or approval delays.
• Third-party tool outages or API limitations.
• Events beyond reasonable control (e.g., force majeure, internet issues, policy changes).
All services, materials, and systems are provided “as is” without express or implied warranties, including merchantability, fitness for a particular purpose, or non-infringement.
While we implement proven systems and strategies, we do not guarantee specific results such as revenue growth, sales volume, lead count, or search ranking improvements.
In no event shall ODG APEX Mode, its partners, or affiliates be liable for any indirect, incidental, or consequential damages, including but not limited to loss of data, profits, or business interruption.
Our total liability shall not exceed the amount paid by you for services in the preceding three (3) months.
Materials, assets, and digital templates provided may contain typographical or technical errors. We reserve the right to modify, update, or remove content at any time without notice.
Our Services may include integrations or links to third-party platforms (e.g., GoHighLevel, Meta, Google, Stripe).
We are not responsible for the policies, content, or performance of these third parties. Use at your own discretion.
We may update or modify these Terms of Service from time to time without prior notice. The latest version will always be accessible via our official website.
Continued use of our Services after updates constitutes your acceptance of the revised Terms.
Either party may terminate an agreement with written notice in cases of:
• Breach of terms or non-payment.
• Misuse of assets or unauthorized system access.
Upon termination, all unpaid balances become immediately due, and access to related assets or automations may be revoked.
These Terms shall be governed by and construed in accordance with the laws of the Philippines.
You agree to submit to the exclusive jurisdiction of the courts located in the Philippines for any dispute arising out of or related to these Terms.
For international clients (including those in Canada, the United States, Australia, and the United Kingdom), the governing law and jurisdiction may be adjusted based on the mutually agreed service agreement or proposal.
